EULA - End User License Agreement

WASSON SOFTWARE LICENSE AGREEMENT

IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING THE SOFTWARE. Wasson Software, Inc. ("Wasson") is willing to license the software to you as the individual, the company, or the legal entity that will be using the Software (referenced below as "you" or "your") only on the condition that you accept all of the terms of this license agreement.

This is a legal and enforceable contract between you and Wasson. By clicking the "accept" or "yes" button or otherwise indicating assent electronically, or by downloading or installing the software, you agree to the terms and conditions of this agreement. If you do not agree to these terms and conditions, you may not install, copy, or use the Software.

1. LICENSE
The software and documentation that accompanies this License (collectively the "Software") is the property of Wasson or its licensors and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. While Wasson continues to own the Software, you will have certain rights to use the Software after your acceptance of this License. The Software is licensed, not sold.

Your rights and obligations with respect to the use of this Software are as follows, unless modified by a Site License (see below):

For each Single-User License granted you by Wasson, the EULA gives you the non-exclusive right to:

A. use one copy of the Software on a single computer;
B. make one copy of the Software for archival purposes, or copy the Software onto the hard disk of your computer and retain the original for archival purposes;
C. use the Software on a network, provided that you have a licensed copy of the Software for each computer that can access the Software over that network;
D. archive a copy of the documentation on your computer for private use;
E. print one copy of the documentation for private use; and
F. use the Software in accordance with any additional permitted uses set forth below.

If you have purchased a Site License, you may:
A. use as above the number of copies of the Software licensed to you by Wasson in your Site License. All other rights and obligations are the same as for the Single-User License.

If you are using a demo or trial version, you may:
A. use the demo in the manner described for the Single-User License free of charge for 14 days or 30 executions of the Software, whichever comes first, after which point the software will cease to function. Attempts to extend or remove this time limit are violations of the license agreement. Reports generated with the demo version will be watermarked DEMO: FOR TRIAL USE ONLY. All other rights and obligations are the same as for the Single-User License.

For any License, you may not:
A. copy and/or distribute the documentation that accompanies the Software;
B. sublicense, rent, or lease any portion of the Software; reverse engineer, decompile, disassemble, modify, translate, make any attempt to discover the source code of the Software, or create derivative works from the Software;
C. use, if you received the software distributed on media containing multiple Wasson products, any Wasson software on the media for which you have not received permission in a License;
D. use the Software in any manner not authorized by this license; nor
E. use the Software in any manner that contradicts any additional restrictions set forth below.

2. RESERVATION OF RIGHTS: All rights not expressly granted are reserved by Wasson.

3. FURTHER NOTICES:

A. Product Installation and Required Activation:

There are technological measures in this Software designed to prevent unlicensed or illegal use of the Software. You agree that Wasson may use these measures to protect Wasson against software piracy. This Software may contain enforcement technology that limits the ability to install and uninstall the Software on a machine to not more than a finite number of times for a finite number of machines.

This Software requires activation as set forth during installation and in the Documentation. During activation, you will provide your unique license ID and password generated during the purchase process, after which the Software will verify the authenticity of your license over the Internet. If you do not complete the activation, or if your license ID is invalid, the Software will not activate. You may run the activation process more than once. In the event you are not able to activate the Software over the Internet or through any other method specified during the activation process, you may contact Wasson Customer Support using the information provided at the end of this EULA.

B. LIMITATION OF LIABILITY:
Some states and countries do not allow the limitation or exclusion of liability for incidental or consequential damages, so the below limitation or exclusion may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WASSON OR ITS LICENSORS BE LIABLE TO YOU FOR ANY DAMAGE WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, ANY SPECIAL, CONSEQUENTIAL, INDIRECT, OR SIMILAR DAMAGES, INCLUDING ANY LOST PROFITS OR LOST DATA ARISING FROM USE OR INABILITY TO USE THE SOFTWARE), EVEN IF WASSON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no case shall Wassons or its licensors liability exceed the purchase price for the software. The disclaimers and limitations set forth above will apply regardless of whether you accept the Software.

C. Refunds

A full refund will be granted within 30 days of purchase for defective products or products not received due to an error on Wassons part. Because Wasson offers a fully functional, free trial version of the software, we do not offer refunds for any other reason, including but not limited to incompatibility with your hardware or other software. No refunds will be given 30 days after the purchase date for any reason.

4. GENERAL

A. If you acquired this Software in the United States, this EULA is governed by the laws of the State of Colorado. If this Software was acquired outside the United States, then local law may apply.

B. This Agreement may only be modified by an Extended License that accompanies this License or by a written document that has been signed by both you and Wasson.
